Precisely AI Supplementary Terms

By accepting the following “Supplemental Terms regarding AI”, you acknowledge and agree that these terms shall apply to your use of the Precisely Platform (the “Platform”) when utilizing any AI features. These terms are in addition to the existing terms and conditions governing your use of the Platform.

1. The AI functionality

1.1 As part of your subscription to Precisely’s services, you now have access to AI features. These AI features enhance the functionality of the Platform and are included in your subscription, offering the opportunity to leverage AI capabilities on up to 100 documents per month for Professional plan users and up to 5000 documents per month for Enterprise users. You can, at any time, choose to deactivate this functionality by contacting us hello@precisely.se or our support Chat on the Platform.

2. Third Party Provider

2.1.Precisely offers the ability to select your preferred data hosting solution through our partnerships: Azure OpenAI EU and OpenAI US. The Azure OpenAI EU option, hosted within the European Union, will be automatically activated unless specifically requested otherwise. This default choice harmonizes the capabilities of OpenAI’s language models with Azure’s robust security, compliance, and EU-based hosting.

2.2. Azure Open AI EU processes all data within the European Union, which means that no data is sent outside of the EU for processing. As a result, Azure Open AI is fully compliant with the General Data Protection Regulation (GDPR), the EU’s primary data protection law, which sets out strict rules on the processing of personal data. It is essential for us you acknowledge that by using our AI functionality, you agree to be bound by Azure OpenAI’s terms of service, which can be found at Microsoft Product Terms.

2.3. Open AI US

2.3.1 Upon request, you can also decide to utilize OpenAI US, a tool that allows developers to access the power of OpenAI US’ language models. It is essential for us you acknowledge that by using our AI feature powered by Open AI US, you agree to be bound by OpenAI US’ terms of service, which can be found at https://beta.openai.com/terms/. Additionally, you acknowledge and agree that your data is processed and stored temporary (for up to 30 days) in the United States as it is where Open AI US’ systems and sub-processors’ systems are located.

2.3.2 Data Processing Guarantees. We take data privacy and security seriously, and ensure that the data sent and processed by Open AI US follows strict rules and regulations. Any personal data is processed in accordance with the Standard Contractual Clauses adopted by the EU commission on June 4th, 2021. Specifically, Open AI US will only process your personal data on documented instructions from Precisely, unless required to do so by Union or Member State law to which we are subject. Additionally, your personal data will only be processed for the specific purposes of the processing, and will not be used for any other purpose without your prior written consent. We will take all necessary steps to ensure that your personal data is processed securely and in accordance with applicable laws and regulations.

2.4. No use of data to train models. Our Third Party providers, Azure OpenAI and Open AI do not use the data submitted to the service or Output Content to train, retrain or improve their foundation models.

2.5. Precisely may process and use Al Content to further develop, enhance, and improve the Service and the Al Functions, and you consent to Precisely’s usage therefor.

3. Intellectual property.

3.1 The output generated or identified by the AI function is considered the intellectual property of the User. Precisely shall not use it for any other purpose than providing or improving the AI function to the User.

4. Limitation of responsibility

4.1 It is important for us to emphasise that we cannot guarantee the accuracy of any information obtained through AI functions. Therefore, we want to make it clear that you assume sole responsibility for any material or data obtained through the use of our AI functions. We advise you not to rely solely on the factual assertions in the output without independently verifying their accuracy.

4.2 SLA not applicable. We want to highlight that, in the event of a Third-Party service failure affecting the Precisely AI add-on, any resulting downtime of the feature will not be included in the Availability and Downtime calculations, regardless of any conflicting clauses in your Agreement or Service Level Terms.

5. Deactivation of the AI functionality

5.1. If you choose to deactivate the AI functionality, you will retain ownership of any output obtained through the AI feature during its activation period. Discontinuation of the AI feature will result in the cessation of AI functionality within the Platform. However, this action will not impact your ongoing subscription in any way.

5.2. The deactivation of the AI feature will not affect the existing terms of your subscription. Your subscription will remain active, and you will continue to have access to other features of the Platform as outlined in your subscription agreement.
